3.5. The Company shall assess the appropriate contractual, tax and social security treatment before activating an Individual Partner for commission-generating activities.
3.6. Where mandatory law requires a different contractual arrangement, the Parties shall enter into the appropriate agreement before paid activities commence.
4. Independent Relationship

4.2. This Agreement does not itself establish an employment relationship, partnership, franchise or joint venture.
4.3. The legal classification of the relationship shall depend on the actual working arrangements and mandatory applicable law, regardless of the title of this Agreement.
4.4. No fixed working hours, workplace or minimum sales volume are imposed by this Agreement.

6.5. The Company's technical attribution records shall not exclude commission rights arising under mandatory applicable law.
7. Sales Commission

7.2. The standard commission base is the qualifying subscription revenue excluding VAT, refunds and applicable credit adjustments, subject to mandatory legal requirements.

| Active paying customers | Commission rate |
|---|
| 1-19 | 15% |
| 20-49 | 17.5% |
| 50-99 | 20% |

7.4. Commission is recurring for qualifying subscription payments in accordance with the Commission Policy, the applicable contractual period and mandatory law.
7.5. A free trial does not itself generate commission.
7.6. The detailed calculation of customer counts, tier changes, subscription upgrades, downgrades, refunds, chargebacks and post-termination commission is governed by the Commission Policy, subject to mandatory law.
7.7. No commission is payable for fraudulent transactions or fabricated referrals. This does not affect statutory commission entitlements.
8. Performance Bonuses

New Customer Bonus
EUR 50 for every ten qualifying new paying customers.
Quarterly Sales Bonus
EUR 150 for acquiring at least thirty qualifying new paying customers during a calendar quarter.
Customer Retention Bonus
An additional 5% of the qualifying quarterly sales commission where the Partner maintains at least twenty active paying customers and achieves a customer retention rate of at least 95%.
The Commission Policy shall define the applicable calculation methods, measurement dates, eligibility conditions and whether bonuses are cumulative.
9. Team Leader Commission
9.1. A duly appointed Team Leader may receive an additional commission equal to 15% of the qualifying commissions earned by directly assigned Sales Representatives.
9.2. This leadership commission is additional to, and shall not reduce, the Sales Representatives' own commissions.
9.3. The detailed conditions, team attribution, reassignment rules and eligibility after termination shall be governed by the Team Leader Addendum and mandatory law.

10.7. Individual Partners shall not be required to issue a business invoice where the applicable law instead requires payment under a different lawful documentation and taxation procedure.
10.8. The standard administrative payment target is within fifteen calendar days after completion of the applicable payment documentation, provided this does not postpone a payment beyond a mandatory statutory deadline.
10.9. The Company shall not make unlawful deductions or retroactively withdraw commissions already earned.
11. Taxation and Social Security
11.1. The Partner shall provide accurate information concerning their country of tax residence, legal status and any applicable tax registration.

11.3. The Company shall fulfil its own statutory tax reporting, withholding, payroll and social security obligations.
11.4. For Individual Partners resident in Hungary, the Company shall assess whether personal income tax withholding, social security contributions or other employer/payer obligations arise.
